Terms of Service for LeadSyncd

1. The Service

LeadSyncd provides AI-powered pipeline monitoring and task management for insurance agencies.

2. Your Account

• You provide accurate business information
• You maintain security of your login credentials
• You provide API access to your AMS, VoIP, and email systems as needed
• You are responsible for your team's use of the service

3. What You Can't Do

You agree not to:

• Use the service for illegal purposes
• Share your account with unauthorized users
• Reverse engineer or copy our software
• Attempt to access other customers' data
• Overload or damage our systems

4. Your Data

• You own all your business data
• You grant us permission to access your AMS, VoIP, and email systems to provide the service
• We process data using Anthropic's AI services
• See our Privacy Policy for details on data handling

5. Fees & Payment

Setup Fee: $6,000-$10,000 (one-time, based on plan selected)
Monthly Fee: $1,000-$1,500/month (based on plan selected)

• Payment due within 15 days of invoice
• Late payments may result in service suspension
• Setup fees are non-refundable once implementation begins
• Monthly fees are non-refundable but can be canceled with 30 days notice

6. Service Level

We aim for 99% uptime but do not guarantee it.

We are not responsible for:

• Downtime or service interruptions
• Data loss caused by your systems or third-party services
• Decisions you make based on our insights
• Lost revenue or business opportunities

7. Cancellation

Either party can cancel with 30 days written notice to team@leadsyncd.com

Upon cancellation:

• Final monthly fee is charged (no pro-rating)
• Your data is deleted within 30 days
• API access is revoked immediately

8. Liability Limits

OUR TOTAL LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS.

WE ARE NOT LIABLE FOR:

• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Data breaches caused by your systems or employees
• Third-party actions or service failures

9. Indemnification

You agree to indemnify LeadSyncd against claims arising from:

• Your misuse of the service
• Your violation of these terms
• Your violation of applicable laws

10. Changes to Terms

We may update these terms with 30 days notice via email.
Continued use after changes means you accept the new terms.

11. Disputes

These terms are governed by the laws of the State of New York.
Any disputes will be resolved through binding arbitration in New York.

12. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and LeadSyncd.
